operated by Grove Studios (“us”, “we”, or “our”).
Your access to and use of the Service is conditioned on your acceptance of and
compliance with these Terms. These Terms apply to all visitors, users and
others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you
disagree with any part of the terms then you may not access the Service. This

Our Service may contain links to third-party web sites or services that are
not owned or controlled by Grove Studios.
Grove Studios has no control over, and assumes no responsibility for, the
content, privacy policies, or practices of any third party web sites or
services. You further acknowledge and agree that Grove Studios shall not be
responsible or liable, directly or indirectly, for any damage or loss caused
or alleged to be caused by or in connection with use of or reliance on any
such content, goods or services available on or through any such web sites or
We strongly advise you to read the terms and conditions and privacy policies
of any third-party web sites or services that you visit.
We may terminate or suspend access to our Service immediately, without prior
notice or liability, for any reason whatsoever, including without limitation
if you breach the Terms.
All provisions of the Terms which by their nature should survive termination
shall survive termination, including, without limitation, ownership
provisions, warranty disclaimers, indemnity and limitations of liability.
These Terms shall be governed and construed in accordance with the laws of
Michigan, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be
considered a waiver of those rights. If any provision of these Terms is held
to be invalid or unenforceable by a court, the remaining provisions of these
Terms will remain in effect. These Terms constitute the entire agreement
between us regarding our Service, and supersede and replace any prior
agreements we might have between us regarding the Service.
We reserve the right, at our sole discretion, to modify or replace these Terms
at any time. If a revision is material we will try to provide at least 30 days
notice prior to any new terms taking effect. What constitutes a material
change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become
effective, you agree to be bound by the revised terms. If you do not agree to
the new terms, please stop using the Service.

- ACCEPTANCE OF TERMS
- DESCRIPTION OF SERVICES
Grove Studios may provide you with access to rehearsal/work space, co-op workstations, internet access, hourly rehearsal/work space, knowledge resources, and other services as Grove Studios may provide from time to time (collectively, “Services”) at its premises located at 884 Railroad St. Suite B, Ypsilanti, MI 48197 and any spaces occupied by Grove Studios (“Premises”). The Services at all times are subject to the TOU. Grove Studios operates its business as a tenant of one or more rented or leased properties. As such, the owner(s) and/or landlord(s) of any respective property may impose restrictions, rules, modifications, leasehold improvements, or other conditions that will necessarily become bearing on Grove Studios and, by extension, must be accepted by its Members.
- USE OF SERVICES
As a Member, I will NOT:
3.1. Use the Services in connection with pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise).
3.2. Maintain or store any inventory of products or goods outside of my designated area on the Premises.
3.3. Use the Premises for illegal purposes or conduct illegal activity on Premises.
3.4. Tamper with, borrow, or remove property kept in another Member’s area without their expressed permission.
3.5. Cause or permit any hazardous substance to be used, stored, generated, released or disposed of on or in the Premises. “Hazardous” shall be determined by Grove Studios in its sole discretion.
3.6. Act in a manner that, in Grove Studios’ sole discretion, does or is likely to adversely affect the peaceful operation and enjoyment of the Premises of Grove Studios, or the building, including without limitation creating any disturbance to occupants of the Grove Studios Premises or the greater building or their employees, Members, guests or neighbors.
3.7. Post any signs, symbols, or pictures on the walls or in the windows or doorways inside or outside the Premises. Hang or secure hardware, artwork, banners, hooks, etc. of any kind to the walls, ceiling or doors inside the Premises.
3.8. Smoke or permit guests to smoke anything inside the Premises.
3.9. Sleep anywhere within the Premises or in the Premises parking lot or attempt to use the Premises as a temporary residence at any time.
As a Member, I understand that:
3.10. Space use is available 24 hours and 7 days a week. Grove Studios is a place to get creative work done and to collaborate with other creatives.
3.11. Distributing access codes to non-members is grounds for membership cancellation. Guests (e.g. non-regular space users, friends, family, students and their parents, assistants and/or clients) who are invited onto the Premises under the policies described in this agreement must be accompanied by a Member when visiting the space. Non-members should never be given unattended access to the Premises without the advance consent of Grove Studios partners and should be limited to emergency situations only. Access codes for facility and applicable rooms will be changed upon each instance of unattended admittance of non-members. The Member associated with the non-member being allowed to enter unattended assumes all risk and responsibility for anything the non-member does while on Premises. Grove reserves the right to revoke membership for violation of this clause.
3.11. For the benefit and safety of Grove Studios’ Members and its Premises, video surveillance will be in use at all times. Member consents on his/her behalf and on behalf of his/her guests to such video surveillance.
3.12. I must maintain both my area and the common areas shared by other Members in a neat, clean, and sanitary condition. No open food or drink is allowed to be stored in members designated areas. Food and drink is only to be stored in community refrigerators at members’ discretion.
3.13. Internet access is provided as a courtesy to Members and guests on an unsecured network (Grove Member/Wireless Ypsi). Members assume all risk and liability for themselves and for their guests regarding all inherent possibilities arising from use of the internet and computer equipment, without limitation to the potential of viruses, hackers, and incompatibility.
3.14. My Membership Agreement with Grove Studios does not constitute a lease of any kind or manner whatsoever. Rather, the Agreement is a license between Grove Studios and myself describing Membership benefits, access to Services, and associated costs and terms.
3.15. I will provide Grove Studios management with 30 days written notice should I decide to cancel my participation in monthly membership space usage. Monthly space use fees are non-refundable if a Member terminates their membership prior to the end of the month.
3.16. To the extent permitted by law, Grove Studios nor its owners, management, or agents shall be liable for damages to property or injury to persons suffered or alleged to be suffered on the Premises by any person, firm or corporation. Members shall indemnify, defend and hold Grove Studios and its owners, management, and agents harmless from and against all loss, cost and expense, including attorneys fees, arising from any act, omissions of negligence of Members or its officers, contractors, licensees, agents, servants, employees, guests, invitees, or visitors in or about the Premises. Each Member acknowledges and agrees that the payment method provided by them may be charged the amounts such Member may incur or be liable for (including for damages caused to any of our Premises or property).
3.17. Parking is available in the four spaces immediately adjacent to the building and along the fence separating Grove Studios and Budget Towing. Avoid potential fines by observing signage for restrictions and request that guests do the same. Parking across Railroad St. from the Premises near the railway is at the risk of the Member and non-members alike.
3.18. Grove Studios carries a limited Liability Insurance policy to cover accidental injury and damage/theft to its property. Your homeowners, renters or musical instrument insurance may cover loss of things you decide to leave here (a computer, music instruments, photography equipment, for example), but doing so is your choice and risk. It is highly recommended that you confirm or obtain coverage with your insurer. Basically, you are responsible for your stuff. If it’s valuable and irreplaceable, keep it with you.
3.19. If my booking is more than 12 hours away, I can easily cancel my booking in my account. Once I cancel, the credit will be in my account “wallet” for use at a later time. If I’d like Grove Studios to send the funds back to my credit or debit card, I will need to email firstname.lastname@example.org to request such action. If my booking is less than 12 hours away, Grove Studios is unable to refund or move the booking.
3.20. If I overstay at the end of my booking, I understand that I will be charged $5 per 10 minutes increment of the original booking time.
For the protection of its Members and the Premises, Grove Studios reserves the right to immediately terminate any Membership and/or any Service at any time with or without cause or advance notice, in its sole discretion. In the event that Grove Studios terminates a Membership, the former Member may be entitled to a refund of monthly dues not to exceed a prorated amount based on number of days remaining in the month of termination. Yearly Membership dues are non-refundable.
In the event that any provision or portion of this TOU or the Membership Agreement is determined to be invalid, illegal, or unenforceable according to the laws in Washtenaw County, Ypsilanti, and Michigan, the remaining provisions of the TOU and Membership Agreement shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.
